End-user licence agreement

1. About this agreement

This agreement covers the connection between the True North Cables store at truenorthcables.ca and QuickBooks Online (the "App"). The App is operated by True North Cables Inc. ("we", "us"). It posts the store's daily sales, refunds, payment fees and payouts to a QuickBooks Online company.

By connecting a QuickBooks Online company to the App, or by using the App, you accept this agreement for yourself and for the business whose company you connect. If you do not accept it, do not connect.

2. Who may use the App

The App is not offered to the public. Only administrators of truenorthcables.ca, acting for True North Cables Inc., can connect or use it, and only with a QuickBooks Online company that the business owns or is authorised to manage. You must hold the QuickBooks permissions needed to connect apps to that company.

3. Licence

We grant you a limited, non-exclusive, non-transferable and revocable licence to use the App to keep the books of True North Cables Inc. while this agreement is in force. We keep every right not expressly granted here.

4. What the App does in QuickBooks

Once connected, the App uses Intuit's QuickBooks Online Accounting API. It:

  • reads the company's settings (including the closing date), accounts, items, tax codes and tax rates, and the one customer record its sales are posted to;
  • creates, if they are missing, the accounts, service items and sales customer it posts to;
  • creates a sales receipt or refund receipt and a journal entry for each day, and a transfer for each payout from our payment processor;
  • updates, voids or deletes only documents it created itself, when a day's figures change, and never anything dated on or before the company's closing date.

It does not read or change invoices, bills, payroll, other customers or any document it did not create. It sends QuickBooks daily totals only: no shopper's name, address, email address, phone number or card details.

5. Your responsibilities

  • Review what the App posts, with your accountant where needed. The App follows the accounts and tax codes chosen during setup; you remain responsible for the books, the settings of the QuickBooks company and any return filed from them.
  • Act on the alert email the App sends when a day cannot be posted, a figure does not reconcile or the connection needs renewing.
  • Keep your truenorthcables.ca administrator account and your Intuit account secure, and tell us promptly if you think someone else has used either.

6. Restrictions

You agree not to:

  • use the App with a company that True North Cables Inc. is not authorised to manage;
  • copy, modify, reverse engineer, resell or sublicense the App, or give anyone else access to it;
  • use the App in a way that breaks the law, Intuit's terms or the limits of the QuickBooks API;
  • try to get around the App's security.

7. Data, security and privacy

The App stores the company id, the access tokens Intuit issues (encrypted in our database), the ids of the accounts, items and documents the App uses, and a record of each day posted. We use QuickBooks data only to keep the store's books, and never sell it, share it or use it for advertising.

Every connection to Intuit uses HTTPS. Only administrators can connect, disconnect or post, and they sign in with a one-time code sent to their email.

8. Disconnecting

You can disconnect at any time, from the QuickBooks page of the store's admin area or from the list of connected apps in QuickBooks. The access tokens are then revoked or deleted and the nightly posting stops. What the App already posted stays in QuickBooks. You can connect again later; setup reuses the accounts and items it created.

9. Intuit and QuickBooks

QuickBooks and Intuit are trademarks of Intuit Inc. The App is not made, endorsed or supported by Intuit. Your use of QuickBooks Online is governed by your own agreement with Intuit. Intuit is not a party to this agreement and is not responsible for the App.

10. No warranty

The App is provided as is and as available. We work to keep it accurate and running, but we do not promise that it will be uninterrupted or free of errors, or that its postings will meet your accounting or tax needs. To the extent the law allows, we disclaim every other warranty and condition, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

11. Our liability

To the extent the law allows, we are not liable for indirect, incidental or consequential losses arising from the App, such as lost profits, lost data or the cost of correcting records, and our total liability under this agreement is limited to one hundred Canadian dollars.

12. Ending this agreement

This agreement lasts while a QuickBooks company is connected to the App. It ends when you disconnect, when your administrator access ends, or when we withdraw the App. The sections on restrictions, warranty, liability and governing law continue after it ends.

13. Changes to this agreement

We may update this agreement. The date at the top shows when it last changed. Using the App after a change means you accept the new version.

14. Governing law

This agreement is governed by the laws of Manitoba and the federal laws of Canada that apply there, and the courts of Manitoba have jurisdiction over any dispute about it.
